Authorized Channel Partner (ACP) Agreement — Legally Binding Framework
1Legal Entity & Brand Clarification
- 1.1 The Aatithyah Partner Program is owned, operated, and governed by Codrex Digital Private Limited, a company legally registered in Haridwar, Uttarakhand, India.
- 1.2 "Aatithyah" is a registered brand/trade name operated under Codrex Digital Private Limited.
- 1.3 All contractual, financial, legal, and operational rights belong exclusively to Codrex Digital Private Limited.
- 1.4 Any reference to "Aatithyah" in this document shall legally refer to Codrex Digital Private Limited.
2Nature of Engagement
- 2.1 The Authorized Channel Partner ("ACP") is an independent business participant.
- 2.2 Nothing in this agreement shall create: Employer–employee relationship, Franchise agreement, Legal partnership, Joint venture, Agency with binding authority.
- 2.3 ACP has no authority to legally bind Codrex Digital Private Limited in any form.
3Program Structure & Discretionary Authority
- 3.1 The Aatithyah Partner Program is a dynamic and evolving commercial model.
- 3.2 Codrex Digital Private Limited retains absolute, unilateral, and discretionary authority to modify: Commission structures, Revenue percentages, Setup fee structures, Recurring income formulas, Slab systems, Incentive models, Territory allocation, Performance benchmarks, Eligibility rules.
- 3.3 Policy modifications may be implemented without prior approval of ACP.
- 3.4 Continued participation after policy changes shall constitute deemed acceptance.
4Income Cap & Structural Adjustment Rights
- 4.1 Codrex Digital Private Limited reserves the right to introduce: Maximum monthly income caps, Annual earning ceilings, Commission reduction slabs, Tier-based payout models, Revenue redistribution frameworks, Performance-linked commission adjustments.
- 4.2 Income caps may be implemented: Region-wise, Partner-wise, Nationally, Globally.
- 4.3 Such adjustments shall not be considered breach of agreement.
- 4.4 ACP acknowledges that long-term ecosystem sustainability takes priority over static commission commitments.
5Commission Eligibility & Verification
- 5.1 Commission shall be payable strictly on: Verified and approved hotel onboarding, Revenue processed exclusively through official platforms, Active and compliant hotels.
- 5.2 Commission is subject to: Revenue validation, Compliance review, System audit.
- 5.3 Codrex Digital Private Limited reserves the right to: Withhold disputed commissions, Reverse erroneous payouts, Adjust income calculations.
- 5.4 System-generated reports from official portals shall be deemed final.
6Centralized Billing Authority
- 6.1 All billing and revenue tracking is controlled exclusively by: https://acp.aatithyah.com, https://revenue.aatithyah.com
- 6.2 No manual records or third-party reports shall override system data.
- 6.3 Commission calculation shall be strictly based on official system logs.
7Territory Policy
- 7.1 Territory allocation, if provided, is non-exclusive and performance-based.
- 7.2 Codrex Digital Private Limited may: Appoint multiple ACPs in same region, Reassign territories, Introduce corporate sales teams, Modify geographical boundaries.
- 7.3 Territory rights are revocable and conditional.
8Suspension, Clawback & Recovery
- 8.1 In case of: Fraudulent onboarding, Misrepresentation, Duplicate registrations, Policy manipulation, Revenue falsification — Codrex Digital Private Limited reserves the right to: Immediately suspend account, Cancel unpaid commissions, Reverse credited commissions, Initiate recovery proceedings.
- 8.2 Clawback rights may apply even after termination if discrepancies are discovered later.
9No Guaranteed Income Clause
- 9.1 All income examples are illustrative only.
- 9.2 Codrex Digital Private Limited does not guarantee: Fixed monthly earnings, Target achievement, Revenue stability.
- 9.3 Income is performance-based and market-dependent.
10Intellectual Property Rights
- 10.1 All intellectual property including: Software, Brand names, Portals, Technology, Marketing materials, Business models — are exclusive property of Codrex Digital Private Limited.
- 10.2 ACP receives limited, revocable usage rights during active partnership only.
11Confidentiality
- 11.1 ACP agrees to maintain confidentiality of: Commission structures, Revenue models, Business strategies, Internal systems.
- 11.2 Confidentiality obligation survives termination.
12Limitation of Liability
- 12.1 Codrex Digital Private Limited shall not be liable for: Market fluctuations, Hotel business failure, Revenue instability, Regulatory changes, Force majeure events.
- 12.2 Liability, if applicable, shall not exceed unpaid valid commission amounts.
13Termination Rights
- 13.1 Codrex Digital Private Limited may terminate ACP participation without prior notice in case of violation.
- 13.2 Post-termination commission continuation shall be governed by prevailing policy at time of termination.
14Governing Law & Jurisdiction
- 14.1 This agreement shall be governed by the laws of India.
- 14.2 All disputes shall be subject to exclusive jurisdiction of competent courts located in Haridwar, Uttarakhand, India.
- 14.3 Decisions of Codrex Digital Private Limited regarding commission calculations and policy interpretation shall be final and binding.
15Official Communication
- All official communications shall be made through: support@codrex.in
- Only written communication from official company email shall be considered valid.
16Acceptance Clause
- By participating in the Aatithyah Authorized Channel Partner Program, the ACP confirms: Understanding that Aatithyah is a brand operated by Codrex Digital Private Limited; Acceptance of policy changes without objection; Acceptance of income caps or restructuring if introduced; Agreement that company decisions for ecosystem protection shall prevail.
